1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Arivon Labs Sdn. Bhd. ("Company," "we," "us," or "our") governing your access to and use of TheNext.CEO website, platform, services, and related applications (collectively, the "Platform" or "Service").

By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms. We will notify you of material changes as described in Section 13 below.

2. Description of Service

TheNext.CEO is a leadership intelligence assessment platform that provides personalized leadership assessments and reports. Our Service includes:

• Free Assessment: A 98-question leadership assessment that evaluates users across 12 leadership dimensions
• Free Summary Results: Basic assessment results showing your primary leadership archetype and brief description
• Premium Reports: Detailed, multi-page PDF reports with comprehensive analysis, insights, and recommendations (available for purchase)
• Educational Content: Information about leadership archetypes, dimensions, and related educational materials
• Platform Features: Account management, assessment history, and related tools and functionality

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We do not guarantee that the Service will be available at all times or that it will be error-free, secure, or uninterrupted.

3. User Eligibility and Age Requirements

The Platform is intended for use by individuals who are at least 18 years of age or the age of majority in their jurisdiction, whichever is higher. By using the Platform, you represent and warrant that:

• You are at least 18 years old (or the age of majority in your jurisdiction)
• You have the legal capacity and authority to enter into these Terms
• You are not prohibited from using the Service under applicable laws
• All information you provide is accurate, current, and complete
• You will comply with all applicable laws and regulations when using the Platform

If you are under 18 years of age, you may only use the Platform with the consent and supervision of a parent or legal guardian, who must agree to these Terms on your behalf. We reserve the right to verify your age and may suspend or terminate accounts that do not meet age requirements.

4. User Accounts and Registration

4.1 Account Creation

To access certain features of the Platform, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the security and confidentiality of your account credentials
• Accept full responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or use of your account
• Ensure that you log out of your account at the end of each session

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account information. You agree to immediately notify us at legal@thenext.ceo of any unauthorized use of your account or any other breach of security.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause or notice, if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason we deem necessary to protect the Platform or other users.

5. Assessment and Results

5.1 Assessment Process

The assessment consists of 98 carefully designed questions that evaluate your responses across 12 leadership dimensions. You agree to:

• Provide honest, accurate, and thoughtful responses to all questions
• Complete the assessment in a single session or as permitted by the Platform
• Not attempt to manipulate, game, or reverse-engineer the assessment
• Not share your account or allow others to complete assessments on your behalf

Assessment results are generated using our proprietary scoring algorithms and archetype matching system. Results are based solely on your responses and are calculated automatically by our system.

5.2 Results Disclaimer

IMPORTANT: Assessment results, archetype classifications, scores, and recommendations are provided for informational, educational, and self-development purposes only. They are:

• Not Professional Advice: Results are not intended as, and do not constitute, professional psychological, psychiatric, medical, legal, financial, career, or business advice
• Not Clinically Validated: The assessment is not a clinically validated psychological instrument and should not be used for diagnostic or clinical purposes
• Not Guaranteed: Results do not guarantee future performance, success, or outcomes
• For Self-Reflection: Results are tools for self-awareness and reflection, not definitive labels or absolute truths
• Not for Hiring Decisions: Results should not be used as the sole basis for hiring, firing, promotion, or other employment decisions

You acknowledge that any decisions you make based on your assessment results are made at your own risk and are your sole responsibility. We strongly recommend consulting qualified professionals (such as executive coaches, therapists, financial advisors, or legal counsel) before making important life or career decisions.

5.3 Result Accuracy

While we strive to provide accurate and meaningful results, we do not guarantee the accuracy, completeness, or reliability of assessment results. Results may vary based on factors including your honesty, consistency, and current state of mind when taking the assessment.

6. Payment Terms and Refund Policy

6.1 Pricing and Payment

Premium reports are available for purchase at the price displayed on the Platform at the time of purchase. We reserve the right to change prices at any time, but price changes will not affect purchases already completed. Payment terms include:

• Payment Methods: Payments are processed securely through third-party payment processors (such as Stripe). We accept major credit cards, debit cards, and other payment methods as made available by our payment processor
• Currency: All prices are displayed in USD unless otherwise stated. Your payment provider may apply currency conversion fees
• Payment Processing: Payment is required before delivery of premium reports. We do not store your full payment card details
• Taxes: You are responsible for any applicable taxes, duties, or fees imposed by your jurisdiction

6.2 Refund Policy

Due to the digital, personalized, and immediately deliverable nature of our reports, all sales are final once a report has been successfully generated and delivered to your email address. However, we may consider refunds on a case-by-case basis in the following circumstances:

• Technical failures that prevent report delivery despite successful payment
• Duplicate charges or billing errors
• Unauthorized transactions on your account
• Other exceptional circumstances at our sole discretion

To request a refund, please contact us at legal@thenext.ceo within 14 days of purchase, providing your transaction details and reason for the refund request. Refund requests are subject to review and approval at our discretion.

6.3 Failed Payments

If payment fails or is declined, your order will not be processed, and you will not receive the premium report. We are not responsible for payment failures due to insufficient funds, expired cards, or other issues with your payment method.

7. Intellectual Property Rights

7.1 Our Intellectual Property

All content, features, and functionality of the Platform, including but not limited to:

• Assessment questions, methodology, and scoring algorithms
• Report templates, layouts, designs, and content
• Website design, graphics, logos, trademarks, and brand elements
• Software code, applications, and technical infrastructure
• Archetype classifications, descriptions, and related content
• Documentation, guides, and educational materials

are owned by Arivon Labs Sdn. Bhd. and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of Malaysia and international treaties. You acknowledge that the Platform contains proprietary and confidential information.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use in accordance with these Terms. This license does not include:

• Right to reproduce, distribute, or create derivative works
• Right to reverse engineer, decompile, or disassemble the Platform
• Right to remove or alter copyright, trademark, or other proprietary notices
• Right to use our trademarks, logos, or brand elements without permission
• Right to resell, sublicense, or commercialize the Platform or reports

7.3 Your Content

You retain ownership of your assessment responses and personal information. However, by using the Platform, you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, process, and analyze your responses to generate your results, improve our services, and conduct research (in anonymized and aggregated form).

7.4 Prohibited Uses

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Platform, reports, or any content without our express written permission. Any unauthorized use may result in termination of your account and legal action.

8. User Conduct and Prohibited Activities

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Platform for any illegal, fraudulent, or unauthorized purpose
• Violate any applicable laws, regulations, or third-party rights
• Attempt to reverse engineer, decompile, or extract our assessment methodology, algorithms, or proprietary information
• Use automated systems, bots, scripts, or scrapers to access the Platform without permission
• Interfere with, disrupt, or damage the Platform, servers, or networks
• Attempt to gain unauthorized access to any portion of the Platform or other users' accounts
• Impersonate any person or entity or misrepresent your identity or affiliation
• Share, distribute, or resell assessment reports or content without authorization
• Use the Platform to create competing products or services
• Collect or harvest information about other users without their consent
• Upload viruses, malware, or other harmful code
• Engage in any activity that could harm our reputation or business

Violation of these prohibitions may result in immediate termination of your account and legal action. We reserve the right to investigate violations and cooperate with law enforcement authorities.

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

We comply with applicable data protection laws, including the Personal Data Protection Act 2010 (PDPA) of Malaysia and the General Data Protection Regulation (GDPR) where applicable.

10. Disclaimers and Warranties

10.1 Service Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Platform will be uninterrupted, secure, error-free, or free from viruses
• Warranties regarding the accuracy, reliability, or completeness of content or results
• Warranties that defects will be corrected

We do not warrant that the Platform will meet your requirements or that results will be accurate, reliable, or suitable for your purposes.

10.2 Results Disclaimer

Assessment results are provided for informational and self-development purposes only. We make no representations or warranties regarding:

• The accuracy, completeness, or reliability of assessment results
• Whether results will lead to improved performance, success, or outcomes
• The suitability of results for any particular purpose
• Whether results accurately reflect your leadership style or capabilities

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARIVON LABS SDN. BHD., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the Platform
• Damages resulting from unauthorized access to or alteration of your data
• Damages resulting from decisions made based on assessment results
• Damages resulting from third-party conduct or content

Our total liability to you for all claims arising from or related to the Platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred USD ($100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Arivon Labs Sdn. Bhd., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Platform
• Your violation of these Terms or any applicable laws
• Your violation of any third-party rights
• Your content, assessment responses, or other information you provide
• Decisions or actions you take based on assessment results

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

13. Modifications to Terms and Service

We reserve the right to modify these Terms or the Service at any time, with or without notice. Material changes will be communicated by:

• Posting updated Terms on this page
• Updating the "Last updated" date
• Sending email notifications for significant changes
• Displaying prominent notices on the Platform

Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Platform and may terminate your account.

We may modify, suspend, or discontinue any aspect of the Service at any time, including features, availability, or functionality, without liability to you.

14. Termination

14.1 Termination by You

You may stop using the Platform at any time. You may also request deletion of your account by contacting us at legal@thenext.ceo. Account deletion is subject to our data retention policies and legal obligations.

14.2 Termination by Us

We reserve the right to suspend or terminate your access to the Platform immediately, with or without cause or notice, for any reason including:

• Violation of these Terms or our policies
• Fraudulent, illegal, or harmful activity
• Non-payment of fees (where applicable)
• Extended periods of inactivity
• At our sole discretion for any other reason

14.3 Effect of Termination

Upon termination, your right to access and use the Platform will immediately cease. We may delete your account and data in accordance with our Privacy Policy and data retention policies. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitations of liability, and indemnification.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Malaysia.

15.2 Dispute Resolution

Before initiating any legal proceedings, you agree to first contact us at legal@thenext.ceo to attempt to resolve the dispute informally. If we cannot resolve the dispute within 60 days, either party may pursue legal remedies.

You agree that any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of Malaysia, and you consent to the personal jurisdiction of such courts.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Arivon Labs Sdn. Bhd. regarding your use of the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.

18. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Arivon Labs Sdn. Bhd.

19. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.

20. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, internet failures, or other force majeure events.
